1. Introduction
Welcome to the East & Co. website (the “Site”). These Terms & Conditions govern access to and the use of the Site operated by East & Co., located in East Boulder, Colorado. By accessing the Site, you agree to be bound by these Terms. The company reserves the right to update these Terms at any time, with changes taking effect when posted.
2. Use of the Site
The Site and its content, including text, images, graphics, logos, and design, are owned by East & Co. and protected by copyright and intellectual property laws. Usage is limited to personal, non-commercial purposes only.
Prohibited activities include: reproducing or publicly displaying content without permission; using the Site for unlawful purposes; interfering with functionality or security; employing automated tools like bots or scrapers; and misrepresenting your identity.
3. Online Purchases
East & Co. may offer products and services including marketplace goods, gift cards, event tickets, and merchandise.
Pricing and Availability: Prices are in U.S. dollars and subject to change. The company reserves the right to correct pricing errors and cancel orders placed at incorrect prices. Product availability is not guaranteed. In accordance with Colorado law (HB 25-1090), the price displayed at the start of your booking includes all mandatory, non-avoidable fees. Government taxes and optional shipping are excluded from this initial total. We do not add “service charges” or “processing fees” at the final checkout that were not disclosed upfront.
Orders and Payment: Customers must be at least 18 years old with accurate payment information. Order confirmation occurs upon receipt of confirmation email. The company may refuse or cancel any order.
Taxes: Applicable sales tax will be added per Colorado state and local law.
Shipping and Delivery: Timelines and costs are communicated at checkout. The company is not responsible for carrier delays. Risk of loss passes to the customer upon delivery to the carrier.
4. Refund and Cancellation Policy
Marketplace Goods and Merchandise: Refund requests must be submitted within 14 days of delivery to [email protected]. Items must be in original, unused condition.
Gift Cards: Non-refundable and cannot be redeemed for cash except where legally required.
Event Tickets: Final purchase. Refunds may be issued if East & Co. cancels an event. Rescheduled events honor existing tickets for new dates.
5. Reservations and Event Inquiries
Submission of reservation requests does not guarantee availability. Confirmation occurs only upon written confirmation from East & Co. The company reserves the right to decline any request. Event bookings may be subject to separate agreements, deposits, or cancellation policies.
6. Age Requirements
Areas serving alcoholic beverages require customers to be at least 21 years old. Valid identification may be requested, and service can be refused to those not meeting legal age requirements.
7. Information You Provide
When subscribing to newsletters, submitting forms, or making purchases, you agree to provide accurate and current information. You are responsible for maintaining accuracy and account activity.

8. Email and Marketing Communications
By providing your email address, you consent to receiving marketing and promotional communications. You may opt out by clicking the unsubscribe link in any email. Opting out of marketing does not affect transactional communications.

11. User-Submitted Content
If the Site allows submission of reviews, photos, comments, or other content, you grant East & Co. a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and display that content. You represent that you own or have rights to submitted content and that it does not violate third-party rights.
The company reserves the right to remove any inappropriate or offensive User Content at its sole discretion.
12. Disclaimer of Warranties
The Site is provided “as is” and “as available.” East & Co. makes no representations or warranties regarding the Site’s operation, content, or availability. To the fullest extent permitted by law, all warranties are disclaimed, including implied warranties of merchantability and fitness for a particular purpose.
The company does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or harmful components.
13. Limitation of Liability
To the fullest extent permitted by law, East & Co. and its representatives shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Site or any purchases made through it.
Total liability for any claim shall not exceed the amount paid to East & Co. through the Site in the preceding 12 months, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless East & Co. and its representatives from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Site, violation of these Terms, or violation of any third-party rights.
15. Governing Law and Disputes
These Terms are governed by Colorado law without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in state or federal courts located in Boulder County, Colorado. You consent to the personal jurisdiction of those courts.

If any provision is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary. The remaining provisions continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy and any additional referenced terms, constitute the entire agreement regarding your use of the Site.
